Zer0 — Audio & Video Creator Compensation Policy

These Audio & Video Creator Compensation Terms ("Compensation Terms") govern the distribution of the monthly Creator Pool paid by Zer0 for qualifying audio and video content published through the Zer0 platform. These Compensation Terms are supplemental to Zer0's general Terms & Conditions and the Zer0 Privacy Policy and form part of the agreement between Zer0 and each Creator who uploads audio or video content to the Zer0 platform.

1. Definitions

  • "Creator" means the individual or entity that uploads audio or video content to Zer0 and who claims ownership of such content;
  • "Content" means any audio (songs, spoken word, other sound recordings) or video (short-form or long-form video) uploaded to Zer0 by a Creator;
  • "Creator Pool" or "Capital" means the total monthly funds Zer0 allocates for creator compensation (for example, USD $20,000);
  • "Traffic" means measurable audience activity on a Creator's Content during a defined monthly accounting period — specifically: views for videos, and plays/listens for audio, as tracked by Zer0's analytics systems;
  • "Qualifying Traffic" means Traffic that meets Zer0's anti-fraud, policy compliance, and reporting requirements for inclusion in the Creator Pool calculation.

2. Eligibility & Qualification

Creators are eligible to receive compensation from the Creator Pool provided that their Content:

  • is published on an active Zer0 Creator account in good standing;
  • complies with Zer0's Terms & Conditions, community guidelines and applicable law;
  • has not been removed for copyright, policy, or conduct violations during the accounting month; and
  • passes Zer0's fraud and artificial-traffic detection checks; Zer0 reserves the right to exclude or discount traffic suspected to be purchased, artificially generated, or otherwise non‑organic.

3. Calculation Methodology

Compensation is distributed from the Creator Pool pro rata based on each eligible Creator's share of the total Qualifying Traffic during the monthly accounting period.

3.1 Basic Formula

Let Ti be the Creator's Qualifying Traffic for the month and TTotal be the sum of Qualifying Traffic across all eligible Creators. Then:

								Sharei = Ti / TTotal
								Paymenti = Sharei × Creator Pool
							

All divisions are performed using decimal arithmetic. Zer0 will round Payment amounts to two (2) decimal places (USD cents). Any rounding remainder will be handled in accordance with Section 3.4 below.

3.2 Example

Suppose Zer0 allocates a Creator Pool of USD $20,000 for a given month and the measured Qualifying Traffic is as follows:

  • Creator A: 12,000 (video views / plays)
  • Creator B: 900 (video views / plays)
  • Total Qualifying Traffic: 12,900

Using the formula above:

  • ShareA = 12,000 / 12,900 = 0.9302325581 (≈ 93.02%)
  • ShareB = 900 / 12,900 = 0.0697674419 (≈ 6.98%)
  • PaymentA = 0.9302325581 × $20,000 = $18,604.65
  • PaymentB = 0.0697674419 × $20,000 = $1,395.35

Zer0 will display both the precise calculation and the rounded payout. Minor differences due to rounding are normal; any residual amount caused by rounding will be allocated to Zer0's Creator Rounding Reserve and applied to the next payout cycle or distributed pro rata at Zer0's discretion, subject to applicable law.

3.3 Adjustments & Deductions

  • Zer0 may make adjustments to Traffic counts to remove fraudulent or non‑qualifying activity. Adjustments may be applied retroactively following investigation; where practicable, Zer0 will notify affected Creators.
  • Taxes, statutory withholdings, or other deductions required by law or by a Creator's account settings (for example, chargebacks or unpaid balances) will be applied according to applicable law and will be reflected in the payment statement.

3.4 Rounding & Residual Funds

Payments are rounded to the nearest cent. Any residual cents remaining after rounding will be handled as follows: (a) aggregated into a small reserve and applied to future payments; or (b) distributed pro rata in the next payment cycle. Zer0's decision will be final, provided it is reasonable and consistent with these Compensation Terms.

4. Payment Schedule

  • Payments are issued monthly, following the close of the accounting period and completion of fraud and compliance reviews.
  • Zer0 will publish payment statements in the Creator's account dashboard and will attempt to remit funds within thirty (30) calendar days after the end of the accounting month, subject to verification and applicable payment provider timelines.
  • Zer0 may withhold payment for suspected fraud, legal dispute, or where required by law until resolution.

5. Creator Warranties & Representations

By uploading Content to Zer0 a Creator represents and warrants that, to the fullest extent permitted by law:

  • The Creator is the sole author, owner, or has obtained all necessary rights, clearances, and licenses to the Content;
  • The Creator has not granted rights to the Content to any third party that would conflict with the Creator's obligations to Zer0;
  • The Creator has funded, produced, and uploaded the Content lawfully and at the Creator's sole cost and expense;
  • The Content does not infringe any third‑party intellectual property, moral rights, privacy, or publicity rights; and
  • The Creator will be 100% responsible for defending and resolving any dispute, claim, or charge arising from the Creator's Content, including any costs, damages, or liabilities, except where otherwise mandated by law.

6. Rights Granted to Zer0

By uploading Content, the Creator grants Zer0 a non-exclusive, worldwide, royalty-free license to store, reproduce, distribute, stream, display, cache, and otherwise use the Content within the Zer0 platform and for platform promotion as reasonably required to operate the service. Such license does not transfer ownership of the Content, and Creators retain their intellectual property rights subject to the license granted herein.

7. Content Protection & Anti-Piracy

Zer0 is committed to protecting Creators' Content and will employ technical, administrative, and legal measures in accordance with applicable law. Measures may include but are not limited to:

  • Digital fingerprinting and content identification technologies;
  • Access controls, DRM-style delivery restrictions where applicable, and secure storage;
  • Monitoring and takedown procedures on receipt of valid infringement notices;
  • Cooperation with rights holders and law enforcement where lawful requests are made;
  • Automated and manual review of content for suspected piracy and illicit redistribution.

Creators remain primarily responsible for policing their Content and should promptly notify Zer0 of suspected infringements by using the reporting tools in their account dashboard or by contacting support. Zer0 will act reasonably and promptly to investigate and, where appropriate, remove or restrict access to infringing content.

8. Takedown & Dispute Resolution

  • Creators or third parties who believe content infringes their rights may submit a takedown notice in accordance with Zer0's takedown procedure. Notices must contain sufficient detail to allow Zer0 to act.
  • Zer0 will respond to valid takedown notices and may remove or disable access to Content pending resolution.
  • In the event of a dispute, Creators agree to cooperate in good faith with Zer0 and to provide documentation supporting their ownership or rights in the Content.
  • Zer0 does not provide legal advice. Creators are encouraged to seek independent legal counsel to resolve complex ownership disputes.

9. Indemnification

Creators agree to indemnify, defend and hold harmless Zer0, its affiliates, and their respective officers, directors, employees, agents and contractors from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable legal fees) arising out of or related to any breach of the warranties set forth in Section 5 or any claim that Creator's Content infringes a third party's rights.

10. Audit & Recordkeeping

  • Zer0 will maintain records of Traffic and payments for a reasonable period and may, in its discretion, perform audits to verify traffic integrity.
  • Creators must keep accurate records relating to their Content and shall provide reasonable cooperation in connection with any audit that reasonably relates to compensation or rights claims.

11. Modifications

Zer0 may amend these Compensation Terms from time to time. Material changes will be communicated through the App and on Zer0's website. Continued use of the service after notice constitutes acceptance of the updated terms.

12. Governing Law & Jurisdiction

These Compensation Terms are governed by the laws of South Africa. Any dispute arising hereunder will be subject to the exclusive jurisdiction of the courts of South Africa, except where otherwise required by applicable law.
